To use the Services, you must create an account and provide accurate registration information. Your use of the Services is at all times subject to PRX’s discretion.

Users must not:

• Create or control multiple PRX accounts;
• Link the same payment card, bank account or PRX Mastercard to more than one PRX account;
• Engage in fraudulent, misleading or abusive behaviour;
• Manipulate reward, token or cashback accrual mechanisms.

PRX may suspend or terminate accounts, remove rewards or tokens, or cancel cashback where PRX reasonably believes misuse or fraud has occurred.

Users are responsible for ensuring their account’s reward balances, token balances and cashback entries are correct. PRX may refuse to correct discrepancies reported more than 30 days after the relevant transaction.

PRX provides users with access to:

• Percentage-based cashback
• Merchant-funded instant discounts
• PRX rewards, points or tokens
• Referral bonuses
• Trade promotions and giveaways

Eligibility for each offer is subject to the conditions displayed with the relevant promotion. General conditions may include:

1. Completing a qualifying purchase with a participating merchant;
2. Accessing the merchant through approved PRX channels (app, website, browser tool, link, etc.);
3. Enabling cookies or tracking where necessary;
4. Completing the transaction within specified timeframes;
5. Using an approved payment method;
6. Not using coupons, discounts or codes that void merchant-funded rewards;
7. Ensuring transactions are legitimate and not made to artificially trigger rewards;
8. Compliance with merchant policies.

PRX reserves the right to change, suspend or remove promotions at any time.

Some PRX rewards are delivered as card-linked offers (“CLOs”). To participate, you may link one or more eligible payment cards to your PRX account. When you link a card, the relevant Payment Card Network and PRX's third-party service providers monitor eligible transactions on that card to identify qualifying purchases at participating merchants, so that the applicable cashback, rewards or tokens can be credited to your account. Cashback accrued through a CLO is credited and paid in accordance with Sections 5 and 6.

To receive CLO cashback or rewards, you must link at least one eligible debit or credit card (a “Linked Card”) to your account. Not all cards are eligible, and all determinations of eligibility are made by PRX in its sole discretion. The following cards are generally not eligible to be linked:

• Prepaid cards;
• Corporate, business or purchasing cards;
• Gift cards (including Visa or Mastercard gift cards);
• Store cards that can only be used at a specific retailer's stores;
• Government-administered prepaid cards, including Medicare and healthcare cards;
• Any card that is not processed through the Visa or Mastercard payment network.

To be eligible as a Linked Card, the card must be issued by an Australian Financial Institution. Mastercard's data-handling practices in the context of loyalty programs are set out in its .

By registering a Linked Card, you authorise PRX to share your payment card information with the third parties that enable PRX to provide the Services (“Third-Party Service Providers”) and with your Payment Card Network (e.g., Visa, Mastercard) so that the network knows you have enrolled.

You authorise the Payment Card Network to monitor transactions on your Linked Card(s) to identify qualifying purchases, to determine whether you have qualified for or earned an offer linked to your card, and to share those transaction details with PRX in order to enable your card-linked offer(s) and to present offers that may be of interest to you. You agree that PRX and its Third-Party Service Providers may view the transactions you make with participating merchants.

PRX's collection, use and disclosure of this information is governed by the PRX Privacy Policy.

You may opt out of transaction monitoring at any time by de-linking the relevant card through your PRX account settings (for example, Settings > Linked Cards) or by closing your PRX account. If you opt out of transaction monitoring, certain CLO features of the Services may be limited, unavailable, or may not work at all.

PRX may be unable to obtain transaction information from the Payment Card Network for certain purchases, in which case those purchases may not be eligible for CLO cashback or rewards. These include:

• Purchases that require you to enter your Personal Identification Number (PIN);
• Purchases initiated through identification technology that substitutes for a PIN;
• Payments made through a digital wallet or third-party payment application, where you select your Linked Card as a funding source but do not present the card directly to the merchant;
• Payments of existing balances and balance transfers;
• Transactions that are not processed or submitted through the Payment Card Network.

If you want a qualifying purchase to be eligible for a CLO, do not use a PIN when paying with your Linked Card.

If you return, charge back, cancel, dispute, or obtain a refund for a CLO purchase for which cashback, rewards or tokens have already been credited, PRX may reverse or deduct the corresponding amount in accordance with Sections 5, 7 and 12, including by offsetting it against future rewards.

Some participating merchants sell age-restricted products (such as alcohol, tobacco, weapons, gambling, and other regulated items). While PRX does not implement age verification at the platform level, you acknowledge and agree that:

• These merchants require verification that you are 18 years of age or older at the point of transaction;
• The relevant Payment Card Network (such as Visa or Mastercard) and the merchant are responsible for enforcing age restrictions in accordance with applicable law;
• Cashback, rewards, or tokens will only be credited to your account if the transaction is valid and complies with the merchant's policies and all applicable law.

If a transaction involving an age-restricted merchant is declined, reversed, or invalidated by the merchant or Payment Card Network due to age verification requirements, no cashback or rewards will be credited for that transaction, and any previously credited amounts may be reversed in accordance with Section 4(e).

Reward and cashback eligibility is dependent on merchant participation. PRX is not responsible for:

• Changes by merchants to pricing, eligibility or return policies
• Orders that merchants decline, reverse or refund
• Shipping, fees or terms outside PRX’s control
• Merchant cancellations or invalidations
• Any indirect merchant conduct or outcomes

PRX disclaims liability for loss, delays, value changes or any claims relating to independent merchant conduct.

Cashback accrued through PRX, including cashback accrued via card-linked offers under Section 4, will be paid only to a PRX-issued Mastercard linked to your account.

PRX may apply limits to cashback payable over a 24-hour or 30-day period, or impose minimum thresholds for redemption.

Fraudulent, reversed or invalid transactions may result in PRX removing previously credited cashback.

Cashback is not considered stored value, currency or a deposit product; it has no monetary value until credited to the PRX Mastercard.

PRX may issue digital points, prizes, entries or tokens (“PRX Tokens”). These:

• Are non-transferable and non-redeemable for cash (unless expressly stated)
• Have no monetary value outside the PRX ecosystem
• May be changed, capped, expired or cancelled by PRX
• Do not represent ownership, financial products or securities

PRX may run token-based reward programs, prize draws or promotional campaigns subject to separate terms.

PRX may make adjustments to user balances (cashback, rewards or tokens) where:

• A transaction is cancelled, reversed or ineligible;
• PRX identifies fraud, manipulation, or system misuse;
• A merchant disputes reward eligibility;
• An operational or system correction is required.

PRX may set expiry dates for rewards, tokens, discount credits and unredeemed cashback.

PRX may close accounts that are inactive for 12 months and remove any associated balances.

Information is collected and used in accordance with the PRX Privacy Policy.

PRX may grant bonuses for referrals, promotions, competitions or trade promotions. All such programs are subject to:

• The Promotion Schedule
• Trade Promotion Terms
• Eligibility rules
• Regulatory requirements

PRX reserves the right to reject, reverse or void referral or promotion rewards where fraud or abuse is detected.

Users are responsible for any applicable taxes on rewards, promotions or cashback credited to their account.

PRX may suspend or terminate accounts where it reasonably believes the user has:

• Engaged in fraudulent activity
• Manipulated the program
• Provided misleading information
• Attempted to trigger unearned rewards
• Improperly used the PRX Mastercard or a Linked Card

PRX may forfeit cashback, rewards, discounts or tokens obtained through such activity.

No person other than PRX and the user has any rights to enforce this Agreement.

By creating a PRX account, you consent to receiving service communications, promotional offers and account updates. You may opt out of marketing communications at any time.

All rights in the PRX Platforms, branding, software, content and trademarks are owned by PRX Enterprises Pty Ltd or its licensors. Users must not:

• Copy or reproduce PRX’s IP
• Misrepresent affiliation with PRX
• Use PRX branding without written consent
• Interfere with or disrupt PRX systems

Users must not engage in harassment, abusive conduct, hate speech, explicit content or behaviour that harms PRX, merchants or other users. Violations may result in suspension or termination.

You agree to indemnify PRX, its directors, officers, agents and partners against losses arising from your breach of this Agreement or misuse of the PRX Platforms.

The PRX Platforms are provided on an “as is” basis without warranties of fitness, accuracy or error-free operation. PRX does not guarantee reward eligibility or uninterrupted service.

To the extent permitted by law:

• PRX is not liable for indirect, consequential or special loss
• PRX’s maximum aggregate liability is limited to AUD $100
• PRX is not liable for merchant actions, system outages or tracking failures

This Agreement is governed by the laws of Western Australia. Any dispute will be referred to arbitration administered under the rules of the Australian Centre for International Commercial Arbitration (ACICA), seated in Western Australia.

You may not assign your rights under this Agreement without PRX’s prior written consent. PRX may assign its rights at any time.

Headings are for convenience only and do not affect interpretation.

If any clause is invalid, the remainder will continue in effect. PRX’s failure to enforce a right does not waive it.

This Agreement constitutes the entire agreement between PRX and the user regarding the Services and supersedes all prior versions.
